1. Acceptance of these terms
These Terms of Service ("Terms") form an agreement between you and Valoris Consulting LLC ("Valoris," "we," "us," or "our"). By accessing or using valorisconsulting.net, creating an account, connecting a financial service, uploading information, requesting analysis, or using our services, you agree to these Terms and our Privacy Policy.
If you use the services for a business or other organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services or connect an account.
2. Business use and eligibility
The services are intended for lawful business and commercial purposes. You must be at least 18 years old and able to enter a binding contract. Commercial funding services are not offered for personal, family, or household borrowing.
You may use an account or submit information only for a business that you own, control, advise, or are otherwise authorized to represent.
3. Valoris services
Valoris may provide financial analysis, business consulting, document review, cash-flow and scenario modeling, debt and cost analysis, business-improvement services, commercial funding support, lender matching, and related software tools. Features may be added, changed, suspended, or discontinued as the service develops.
Specific consulting work, fees, deliverables, success-based compensation, or other commercial terms may be governed by a proposal, engagement letter, disclosure, or other signed agreement. If that agreement conflicts with these Terms about the specific engagement, the signed agreement controls for that conflict.
4. QuickBooks and financial connections
Connecting QuickBooks Online or a supported bank-data provider authorizes read-only access to the information shown during the provider's consent process. You can disconnect the source at any time.
You represent that you are authorized to connect each account and allow Valoris to process its data. You authorize us to retrieve, store, organize, and analyze the data needed to provide the requested services.
QuickBooks is connected and managed only through the Financial Data Hub for financial consulting, analysis, and reporting. Connected QuickBooks data is not used for lender matching, funding applications, underwriting or credit decisions, and is not included in lender submissions. If you separately request commercial funding support, that workflow uses only information and documents separately provided or authorized for that purpose.
Valoris does not use these connections to move money, initiate payments, or post changes to your QuickBooks books. Your relationship with Intuit, Plaid, your bank, and other providers remains governed by their own terms. Availability can be affected by provider maintenance, revoked permission, expired credentials, data limits, or changes to third-party systems.
Disconnecting a source stops future retrieval but may also limit or disable connected features. Disconnecting does not automatically remove a report or engagement record that was already created; deletion requests are handled under the Privacy Policy.
5. Reports, calculations, and AI-assisted output
Valoris reports depend on the completeness, classification, timing, and accuracy of source records. Accounting data may be unreconciled, duplicated, delayed, or categorized incorrectly. You are responsible for checking material figures against your source systems and professional records.
Our services may use deterministic software rules and third-party artificial intelligence to read documents, organize information, identify patterns, and draft narrative explanations. AI-assisted output can be incomplete or incorrect. It must not be treated as a substitute for your accountant, attorney, tax professional, investment adviser, insurance professional, or licensed financial adviser.
Unless expressly agreed in writing, reports and recommendations are for business planning and consulting purposes and are not an audit, review, compilation, valuation opinion, fairness opinion, tax opinion, legal opinion, investment recommendation, or assurance engagement.
6. Commercial funding and lender referrals
Valoris may help organize an application, identify possible funding sources, transmit information with your authorization, compare responses, or assist with commercial financing discussions. Unless expressly disclosed in a signed agreement, Valoris is not the lender and does not make a lender's underwriting or credit decision.
A submission does not guarantee approval, an offer, funding, timing, pricing, savings, or any particular result. Lenders and funding providers set their own eligibility requirements, terms, fees, rates, security requirements, and final decisions. Offers may change or expire.
You must review all offer documents and disclosures before accepting financing. You authorize Valoris to share application materials with a lender or provider only when you direct or approve that submission. Compensation payable to Valoris, if any, will be described in the applicable engagement documents or disclosures.
7. Your responsibilities
You agree to:
- provide accurate, current, and complete information and promptly correct material errors;
- maintain the security of your account and notify us of suspected unauthorized access;
- obtain any notices, permissions, and consents required before providing information about owners, employees, customers, vendors, or other people;
- review reports, submissions, recipient lists, recommendations, and financing terms before relying on or approving them;
- use the services only for lawful purposes and in compliance with applicable contracts, licenses, and laws; and
- keep independent copies of records needed for your business, accounting, tax, and legal obligations.
8. Acceptable use
You may not misuse the service; probe or bypass security; access another person's or business's information without authority; upload malicious code; interfere with availability; scrape or resell the service; use the service to deceive lenders or other parties; submit false or altered records; or use the service in violation of sanctions, anti-money-laundering rules, privacy law, intellectual-property rights, or other applicable law.
9. Confidentiality and privacy
Each party may receive confidential information from the other. Each party will use reasonable care to protect confidential information and use it only for the engagement, except where disclosure is authorized or required by law. Our handling of personal information is described in the Privacy Policy.
10. Third-party services
The service may integrate with or link to Intuit QuickBooks, Plaid, financial institutions, lenders, email providers, hosting services, AI providers, and other third parties. Valoris does not control their services and is not responsible for their independent acts, availability, security, decisions, or terms. References to third-party products do not imply endorsement or partnership unless expressly stated.
QuickBooks and Intuit are trademarks of Intuit Inc. Plaid is a trademark of Plaid Inc. Valoris is an independent service and is not endorsed by those companies unless they state otherwise.
11. Intellectual property and limited license
Valoris and its licensors own the service, software, design, methods, and original content, excluding information and materials you provide. Subject to these Terms, Valoris grants you a limited, revocable, nonexclusive, nontransferable right to use the service for your internal business purposes.
You retain ownership of information and materials you provide. You grant Valoris the limited rights needed to host, process, analyze, reproduce, and transmit those materials to provide the services you request.
12. Feedback
If you provide suggestions about the service, you permit Valoris to use them without restriction or compensation, provided we do not publicly identify you without permission.
13. Suspension, disconnection, and termination
You may stop using the service and disconnect linked accounts at any time. We may suspend or terminate access when reasonably necessary to protect users or information, investigate misuse, comply with law, address nonpayment, or enforce these Terms. Provisions that by their nature should survive will remain effective, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, and dispute terms.
14. Disclaimers
To the fullest extent permitted by law, the services and all reports, recommendations, integrations, and content are provided "as is" and "as available." Valoris disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability. We do not warrant that the services will be error-free or that any recommendation will produce a particular financial or business result.
15. Limitation of liability
To the fullest extent permitted by law, Valoris and its owners, employees, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, financing opportunities, or business interruption arising from the services. Valoris's aggregate liability arising from the services will not exceed the amount you paid Valoris for the service giving rise to the claim during the twelve months before the event, or one hundred U.S. dollars if you paid nothing.
Some jurisdictions do not permit certain exclusions or limits, so portions of this section may not apply to you.
16. Indemnification
To the extent permitted by law, you agree to defend and indemnify Valoris from third-party claims arising from information you submit without authority, your unlawful or fraudulent use of the service, your violation of these Terms, or your infringement of another party's rights.
17. Governing law and disputes
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Unless a signed engagement agreement states otherwise, the state and federal courts located in New York will have exclusive jurisdiction over disputes, and each party consents to that jurisdiction and venue.
18. Changes
We may update these Terms as the service or legal requirements change. The effective date above identifies the current version. Material changes may be communicated through the service or by email. Continued use after the updated Terms take effect constitutes acceptance to the extent permitted by law.
19. General terms
If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; Valoris may assign them in connection with a merger, reorganization, financing, sale, or transfer of the service. These Terms, the Privacy Policy, and any applicable signed engagement documents are the complete agreement concerning the covered services.
